These Terms and Conditions of Use (“Terms”) govern your access to and use of the website https://www.drshivamsood.com/ (the “Website”), and it’s subdomains operated by Tejasvat Innovations (OPC) Private Limited (the “Company,” “we,” “us,” or “our”), which manages the brand Dr. Shivam Sood. The Website currently provides content related to ophthalmology, financial education, and productivity. In the future, it will include content on travel and music, affiliate marketing links, sales of educational courses, digital products (e.g., audiobooks, e-books), physical books, merchandise, subscription-based access to content, webinars, online classes, and one-on-one consulting sessions for financial education, ophthalmology, productivity, or other topics (collectively, the "Services"). 

By accessing or using the Website or any of its services, including but not limited to content, products, subscriptions, webinars, online classes, and consulting (collectively, the “Services”), you (“User,” “you,” or “your”) agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations in India, including but not limited to: The Information Technology Act, 2000 (“IT Act”) and its rules, including the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 (“SPDI Rules”); The Consumer Protection Act, 2019 and its rules, including the Consumer Protection (E-Commerce) Rules, 2020; The Copyright Act, 1957; The Trade Marks Act, 1999; or Other applicable Indian laws and regulations.

If you do not agree to these Terms or the Privacy Policy, you must not access or use the Website or Services.

We may revise these Terms periodically. Changes will be posted on the Website with an updated “Effective Date.” For material changes, we will provide at least 30 days’ notice via email (if provided) or a prominent notice on the Website. Your continued use of the Website or Services after changes take effect constitutes your acceptance of the revised Terms.

Eligibility

By using the Services, you represent and warrant that you have the legal capacity to enter into a binding agreement under Indian law and are at least 18 years old or have verifiable parental/guardian consent as required under the SPDI Rules.

For one-on-one consulting (e.g., ophthalmology or financial education), additional eligibility criteria, such as disclosure of medical history or financial status, may apply and will be communicated at the time of booking. One-on-one consulting is educational and advisory only. For ophthalmology sessions, no doctor-patient relationship is created, and they are not a substitute for in-person medical consultation. For financial education sessions, we do not advise or recommend to buy, keep or sell any particular financial product/security investment. We focus exclusively on investor education and financial literacy. We also do not offer claims about returns of performance.

You are prohibited from using the Website or Services if you are located in a jurisdiction where such use is unlawful or if you have been previously banned or restricted from our Services.

Scope of Services

The Website and Services currently include:

  • Content: Educational and informational content on ophthalmology, financial education, and productivity;

  • Future Content: Planned content on travel and music;

  • Affiliate Marketing: Links to third-party products or services that may earn us commissions;

  • Products: Sale of digital products (e.g., audiobooks, e-books), physical books, and merchandise;

We reserve the right to modify, suspend, or discontinue any Service or content at our discretion, with or without notice, subject to applicable laws. Where feasible, we will provide advance notice of significant changes. Services may not be available in all regions or at all times due to technical, legal, or operational constraints.

User Accounts

To access certain Services (e.g., subscriptions, courses, webinars, or consulting), you must create an account by providing a valid email address (username), a secure password, and a valid phone number with two-factor OTP verification to log in. Additional information, such as billing details or sensitive personal data (as defined under the SPDI Rules), may be required for paid Services.

Upon registering for any free or paid product or service on our website, your details, including your email address, will be automatically included in our marketing database. As a result, you may receive our newsletter and other promotional emails or marketing communications from us. You may opt out of these communications at any time by using the unsubscribe option provided in the marketing materials or by contacting us via email with your details.

You agree to provide accurate, current, and complete information during registration and to update such information as needed, in compliance with the SPDI Rules. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at support@drshivamsood.com if you suspect unauthorized access or use of your account. We are not liable for losses caused by unauthorized use if you fail to notify us promptly, as per the IT Act and SPDI Rules.

We may suspend or terminate your account at our sole discretion, with or without notice or assigning reasons, for violations of these Terms, suspected fraud, non-payment, or non-compliance with applicable laws, including the SPDI Rules. Upon termination, you must delete all downloaded or printed materials obtained from the Services. You may terminate your account at any time via account settings or by contacting us.

Subscriptions and Payments

Certain Services are available through subscription plans (e.g., monthly or annual billing). Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date via account settings.

Payments are processed through third-party payment gateways (e.g., Razorpay, PayPal) in compliance with the SPDI Rules for secure handling of payment information. You must provide valid payment information and authorize recurring charges for subscriptions. Prices displayed on the Website include applicable taxes (e.g., Goods and Services Tax) unless otherwise stated.

All sales are final unless required by law. Refunds are subject to our Refund Policy. No refunds will be provided for partial subscription periods, partially used subscriptions, downloaded digital products, or dissatisfaction with Services or products, except for defective physical products or as required by the Consumer Protection Act, 2019. Subscriptions can be cancelled via account settings, and no further charges will apply post-cancellation.

We may revise pricing for Services with at least 30 days’ notice via email or the Website. Failure to make timely payments may result in suspension or termination of access to Services, subject to applicable laws.

Purchases of Products 

Digital products (e.g., audiobooks, e-books, courses) are delivered electronically upon purchase and are licensed for personal, non-commercial, non-transferable use.

Physical products (e.g., books, merchandise) will be shipped to the address provided during purchase. Risk of loss transfers to you upon delivery. Shipping terms, including estimated delivery times, are specified at checkout.

Report defective physical products within 7 days of receipt to support@drshivamsood.com for replacement or refund, subject to our Refund Policy and applicable law.

Report non-delivery of physical products within 30 days of the estimated delivery date for resolution, as required by the Consumer Protection Act, 2019. Returns for physical products are subject to our Return Policy. Digital products are non-returnable.

Webinars, Online Classes, and Consulting

Participation in webinars, online classes, or consulting requires account registration and, where applicable, payment. You agree to participate respectfully and refrain from disruptive behaviour. Recording or sharing webinars, classes, or consulting sessions without explicit written consent is strictly prohibited.

Consulting sessions (e.g., ophthalmology, financial education, productivity) are advisory only and do not constitute professional medical, financial, or legal advice. Ophthalmology sessions are not a substitute for in-person medical evaluation or treatment, and no doctor-patient relationship is created. For financial education sessions, we do not advise or recommend to buy, keep or sell any particular financial product/security investment. We focus exclusively on investor education and financial literacy. We also do not offer claims about returns of performance. Cancellations for webinars, classes, or consulting are governed by our Cancellation Policy. Refunds, if applicable, comply with the Consumer Protection Act, 2019.

Results from educational or consulting Services are not guaranteed and depend on individual effort and circumstances.

Affiliate Marketing

The Website may include affiliate links to third-party products or services, which may earn us a commission at no additional cost to you.

We are not responsible for the quality, availability, policies, or practices of third-party products or services linked through affiliate programs. You should review their terms and privacy policies before engaging. We are not liable for breaches caused by third-party platforms beyond our control.

Affiliate tracking may use cookies or similar technologies, as outlined in our Privacy Policy, in compliance with the SPDI Rules. Collection of sensitive personal data requires your explicit consent. If you withdraw consent, we reserve the right to terminate your access to Services reliant on such data.

Intellectual Property

All content, designs, logos, trademarks, and other materials on the Website or provided through Services are owned by or licensed to Tejasvat Innovations (OPC) Private Limited and/or Dr. Shivam Sood, protected under the Copyright Act, 1957, Trade Marks Act, 1999, and other applicable laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services and content for personal, non-commercial purposes only.

You may not reverse engineer, decompile, mirror, resell, sublicense, frame, or commercially exploit any content without a written license. Unauthorized use of our intellectual property or trademarks may result in legal remedies, including but not limited to injunctions, damages, or account termination. User Conduct

  • Misrepresent your identity, provide false information, or create multiple fake accounts.

  • Record, reproduce, or share webinars, classes, or consulting sessions without prior written consent.

  • Use automated tools (e.g., bots, crawlers, scrapers) to extract content or manipulate payment/subscription models.

  • Harass or threaten our staff, consultants, or other users.

  • Infringe the intellectual property or trademarks of the Company, Dr. Shivam Sood, or third parties.

Violations may result in account suspension, termination, or legal action, with notice as required under the IT Act and SPDI Rules.

Disclaimers

The Website and Services are provided “as is,” “as available,” and “with all faults,” without warranties of any kind, except as required by Indian law. We do not guarantee uninterrupted access, accuracy, or fitness for a particular purpose.

All content is for informational purposes only:

  • Financial Education: For financial education sessions, we do not advise or recommend to buy, keep or sell any particular financial product/security investment. We focus exclusively on investor education and financial literacy. We also do not offer claims about returns of performance. We are not liable for interruptions or errors due to technical issues, including but not limited to server downtime or internet connectivity problems.

Limitation of Liability

To the fullest extent permitted by Indian law:

In no event shall we, our affiliates, licensors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages of any nature whatsoever, including, without limitation, damages for loss of data, loss of profits, loss of business opportunities, loss of goodwill, or adverse health outcomes, arising out of or in connection with your access to, use of, or inability to use the Website or Services, whether based on contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages. Our total liability for any claim is limited to the lesser of INR 10,000 (Ten Thousand Indian Rupees) or the amount you paid for the specific Service in the 12 months preceding the claim;

The Services are provided strictly on an ‘as is,’ ‘as available,’ and ‘with all faults’ basis. Nothing herein shall be construed to limit liability for gross negligence, wilful misconduct, or violations of mandatory consumer protection laws.

Indemnification

You agree to indemnify, defend, and hold harmless Tejasvat Innovations (OPC) Private Limited, and their affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your misuse of the Website or Services;

  • Your violation of these Terms or applicable laws, including the IT Act and SPDI Rules;

  • Your misrepresentation of identity or transmission of malware or unlawful material;

  • Your infringement of intellectual property or third-party rights; or

  • Your user content.

Termination

You may terminate your account or cancel subscriptions at any time via account settings or by contacting support@drshivamsood.com.

We may suspend or terminate your access to the Website or Services at our sole discretion, with or without notice or assigning reasons, for:

  • Breach of these Terms;

  • Non-payment of fees;

  • Suspected fraud or illegal activity;

  • Compliance with legal obligations under the IT Act or SPDI Rules.

Upon termination, you must delete all downloaded or printed materials obtained from the Services, and your license to access or use the Services and content ends. Provisions related to intellectual property, limitation of liability, indemnification, dispute resolution, and other surviving clauses remain in effect.

Governing Law and Dispute Resolution

These Terms are governed by the laws of India, including the IT Act, Consumer Protection Act, Copyright Act, and Trade Marks Act, without regard to conflict of law principles. For complaints, contact our Grievance Officer at frn@drshivamsood.com. We aim to respond within 15-30 days, per Consumer Protection (E-Commerce) Rules, 2020.

Dispute Resolution:

  • Negotiation: Disputes must first be addressed through good-faith negotiation. Contact us at frn@drshivamsood.com to initiate resolution.

  • Mediation: If unresolved, disputes may be referred to mediation at the Delhi International Arbitration Centre (DIAC).

  • Arbitration: For disputes exceeding INR 10,000, we may opt for arbitration under the Arbitration and Conciliation Act, 1996, with a single arbitrator appointed by us, conducted in Delhi, India, in English.

  • Jurisdiction: If arbitration is not pursued, disputes are subject to the exclusive jurisdiction of courts in Delhi, India.

Electronic notices sent to your registered email address constitute valid service under these Terms.

Force Majeure

We are not liable for delays or failures to perform due to events beyond our reasonable control, including but not limited to natural disasters, government actions, cyberattacks, AI failures, government regulation changes, war, terrorism, or internet outages. We will provide notice of such events where feasible.

Miscellaneous

These Terms, together with the Privacy Policy, Refund Policy, Cancellation Policy, and any other linked policies, constitute the entire agreement between you and us regarding the Website and Services.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights in the event of a business transfer or merger, with or without notice.

Our failure to enforce any right or provision does not constitute a waiver of that right or provision. You agree not to make public defamatory remarks about the Services, the Company, or Dr. Shivam Sood.

Provisions related to intellectual property, limitation of liability, indemnification, dispute resolution, and other clauses explicitly stated to survive termination remain in effect post-termination.

Notices to you may be sent via email or posted on the Website. Notices to us must be sent to frn@drshivamsood.com or our registered address. Electronic notices sent to your registered email address constitute valid service.

These Terms are provided in English. Any translations are for convenience only; the English version prevails.
