FR Talks — Engagement Terms

1. Scope and precedence

These Terms govern speaking engagements — keynotes, workshops, CME sessions, panels and fireside conversations (each, an “Engagement”) — delivered by Dr. Shivam Sood on behalf of the Company for an organisation (the “Organiser”).These Terms, together with the signed engagement confirmation or Purchase Order, form the entire agreement for the Engagement.Speaking engagements are business-to-business engagements, not consumer purchases. These Terms prevail over the Company’s website Terms & Conditions of Use and Refund Policy to the extent of any inconsistency.

2. The Engagement

Duration: 45–90 minutes, as agreed in writing.Format: keynote (a delivered talk), workshop (interactive), CME session, or panel / fireside.Delivery: in person at the Organiser’s venue, or live over video.Tailoring: every Engagement is shaped around the Organiser’s audience, objectives and time. The Organiser will share the audience profile, objectives, theme and timings at least 14 days before the Engagement.Final content, structure, slides and delivery remain at the reasonable discretion of the speaker.

3. Fees, GST and tax deducted at source

Fees are as set out in the confirmed proposal.All fees are exclusive of GST. GST is charged additionally at the applicable rate (currently 18%) and is shown as a separate line item on the tax invoice.Invoices are raised by Tejasvat Innovations (OPC) Private Limited and are GST-compliant.Where the Organiser is required to deduct tax at source under Section 194J of the Income-tax Act, 1961, TDS shall be computed on the fee excluding GST, in accordance with CBDT Circular No. 23/2017. The Organiser shall furnish Form 16A within the statutory timeline.At confirmation, the Organiser shall provide its GSTIN, PAN, billing entity name and address, and confirm whether a Purchase Order is required before payment can be released.

4. Payment schedule

50% advance on confirmation. The date is held in the calendar only once the advance is received.Balance 50% no later than 14 days before the Engagement.Travel and accommodation (Clause 5), where applicable, are settled in advance.Payment is by bank transfer to the account stated on the invoice.The Company reserves the right to release the date if the balance is not received by the due date.

5. Travel and accommodation

For Engagements outside the home city, travel and accommodation are additional to the fee, and arranged by one of two routes, agreed at confirmation:Option A — the Organiser books directly.Travel: economy air travel where the journey would exceed approximately six hours by road; otherwise AC rail or car. Airport or station transfers both ways.Accommodation: a business-standard hotel (4-star or equivalent), single occupancy — or the standard the Organiser applies to its own senior faculty and visiting speakers. Night before the Engagement for morning sessions.Meals during the Engagement.Option B — a flat travel supplement. A single pre-agreed amount is added to the invoice, against which the Company arranges its own travel and accommodation. This keeps the Organiser’s budget to one line, with no reimbursements or receipts to process.

6. Cancellation by the Organiser

Written notice is required. The advance is applied as follows:

Any non-refundable travel or accommodation costs already incurred are payable by the Organiser in every case.

A confirmed date is removed from the calendar and cannot be resold at short notice. These terms reflect that.

7. Cancellation by the Company

If the Company cancels for any reason other than force majeure, the Organiser receives a full refund of all amounts paid, and the Company will use best efforts to propose a suitable alternative speaker or a mutually convenient replacement date. The Company’s liability is limited to that refund.

8. Postponement

One free reschedule is available where the Organiser gives more than 15 days’ notice, to a mutually agreed date within 6 months. Amounts paid carry across. Non-refundable travel costs already incurred remain payable.Postponements requested later are treated as a cancellation under Clause 6, at the Company’s discretion.

9. Force majeure

Neither party is liable for failure to perform due to events beyond its reasonable control, including natural disaster, government action or restriction, transport failure, serious illness or medical emergency, civil unrest, or communications failure.The parties will first seek to reschedule to a mutually convenient date within 6 months. Where rescheduling is not possible, amounts paid are refunded, less non-refundable costs already incurred by either party. Neither party is liable to the other for any further loss.

10. Recording, photography and intellectual property

All content of the Engagement — the talk, its structure, slides, frameworks, handouts and supporting material — remains the intellectual property of the Company and Dr. Shivam Sood. Nothing in these Terms transfers ownership.Under the Copyright Act, 1957, a person delivering a lecture is a “performer” (Section 2(qq)) and holds performer’s rights in that lecture. Recording, filming, live-streaming or broadcasting the Engagement therefore requires the Company’s prior written consent, agreed before the event.Where consent is given, the recording may be used for the Organiser’s internal or delegate use only. Wider publication, broadcast or commercial use is agreed separately, case by case.The Organiser may not edit, excerpt, resell, sublicense, or use the recording — or the speaker’s name, image or likeness — to promote any third-party product, sponsor or service, without prior written consent.The Company may capture its own photography and video of the Engagement for its portfolio, showreel and channels, subject to Clause 11.The Organiser may use the speaker’s approved name, photograph and biography to promote the Engagement itself.Slides, where shared in advance for the Organiser’s AV setup, are provided for display at the Engagement only and are not for distribution unless agreed in writing.

11. Attendee consent and media

The Organiser shall notify attendees in advance that the Engagement may be recorded or photographed, and shall obtain all consents required under applicable law — including verifiable parental or guardian consent where any attendee is under 18 years of age.The Organiser warrants that it has done so, and shall indemnify the Company against any claim arising from its failure to do so.Where the audience includes persons under 18, the Company will not capture or publish material identifying an individual minor unless the Organiser has confirmed that appropriate parental consent is in place.

12. Data protection

The Company does not collect personal contact details from student or minor attendees, and does not enrol any person under 18 into its newsletter, WhatsApp broadcasts or marketing lists.Any attendee data shared by the Organiser with the Company shall be shared lawfully, used only for the agreed purpose, and handled in accordance with the Digital Personal Data Protection Act, 2023 and the Company’s Privacy Policy.Feedback and testimonials are collected and published only with the explicit consent of the individual concerned, and never from a person under 18.

13. Independence — no product promotion

Freedom Rising Talks carry no sponsor pitches, no financial products, no affiliate promotions and no third-party endorsements from the stage. This applies equally to sponsored and pharma-supported sessions.The Organiser may acknowledge its sponsors as it wishes. The speaker’s content remains independent of them, and the speaker will not endorse, reference or promote a sponsor’s product.This term is not negotiable. It is the basis on which audiences trust the session.

14. The nature of the content

Freedom Rising Talks are educational and informational only.Financial content. The Company does not advise or recommend to buy, keep or sell any particular financial product or security investment. The focus is exclusively investor education and financial literacy. No claims about returns or performance are offered. Attendees should consult a qualified financial adviser before making investment decisions.Eye-health content. General education only. It is not a substitute for in-person medical evaluation, diagnosis or treatment, and no doctor–patient relationship is created with any attendee.Outcomes depend on individual effort and circumstances and are not guaranteed.

15. Venue, AV and the Organiser’s obligations

The Organiser shall provide, at its own cost:A suitable room, stage or platform, with seating appropriate to the audience.AV: a projector or large screen with HDMI, audio output for video, a lapel or handheld microphone, and a technician available for a sound and slide check at least 30 minutes before the session.An on-site point of contact, and clear timings for arrival, start and finish.For virtual Engagements: the platform and meeting link, a briefing on format and moderation, and a technical check in advance.Confirmation of audience size, seniority and profile in advance.

16. Confidentiality

Each party shall keep confidential any non-public information disclosed by the other in connection with the Engagement and shall not disclose it without consent, save where required by law. The speaker will not disclose confidential information shared by attendees during a session.

17. Independent contractor

The Company is engaged as an independent contractor. Nothing in these Terms creates an employment, partnership, agency or joint-venture relationship.

18. Liability

To the fullest extent permitted by law, each party’s total aggregate liability arising out of or in connection with an Engagement shall not exceed the total fee paid or payable for that Engagement.Neither party is liable to the other for indirect, incidental, special or consequential loss, including loss of profit, business, goodwill or opportunity.Nothing in this Clause limits liability for gross negligence, wilful misconduct, or any liability that cannot lawfully be limited.

19. Governing law and disputes

These Terms are governed by the laws of India.The parties shall first seek to resolve any dispute by good-faith negotiation. Failing that, the dispute may be referred to arbitration under the Arbitration and Conciliation Act, 1996, before a single arbitrator, seated at Kaithal, Haryana, conducted in English. Failing arbitration, the courts at Kaithal, Haryana, India shall have exclusive jurisdiction.

20. General

Variations to these Terms for a specific Engagement are valid only in writing, signed by both parties.If any provision is held unenforceable, the remainder continues in full force.Clauses 10, 11, 12, 13, 16, 18 and 19 survive completion or termination of the Engagement.
